Terms of Use

By accessing or using the WellSteps website, mobile application, or related offerings (collectively, the “Platform”), you (“User,” “you,” “your”) agree to be bound by these Terms of Use (this “Agreement”). If you do not agree, please do not use the Platform.

Privacy & Data Use

WellSteps is committed to protecting and safeguarding your data and privacy. Check out our Privacy Policy to review what personal information we may collect and how we use it.

    • Our handling of your personal data — including any health or wellness data — is governed by our  Privacy Policy. By using the Platform, you consent to such handling.
    • Certain wellness programs may involve the collection or processing of health-related, wellness-related, or biometric information. Any such data is collected and processed solely as described in the Privacy Policy and, where applicable, pursuant to your express consent and applicable law.
    • We treat health-related or sensitive data with appropriate safeguards, and we do not share your personal wellness data with third parties (e.g., your employer) except as permitted by law and as described in the Privacy Policy.
    • Where applicable (e.g., for data-protection laws such as GDPR), users may have rights to access, correct, delete, or export their personal data, as described in our Privacy Policy.

Acceptance of Terms

You understand that WellSteps does not guarantee that anything on the Platform will be free of infection, viruses, or other items that might damage or interfere with your computer, data, or information.  You may not do anything that interferes with the operation of the Platform. By browsing and using the Platform, registering an account, or otherwise affirmatively assenting to these Terms, you acknowledge that you have read, understood, and agree to be bound by this Agreement. WellSteps may maintain electronic records evidencing your acceptance.

    •     WellSteps reserves the right to modify these Terms at any time by posting changes on the Platform, and continued use of the Platform after such posting constitutes acceptance of the updated Terms.

Intellectual Property

    •     All content on the Platform — including but not limited to text, graphics, video, audio clips, photographs, software, user interface, code or design (the “Content”), as well as the arrangements of the Content, is the property of WellSteps and is protected by state, federal, and international copyright, trademark and other proprietary laws.
    •     WellSteps grants you a limited, non-exclusive, non-transferable access to use the Platform for your personal, non-commercial wellness purposes.
    •     You may print or download Content only for your personal use, and solely in unmodified form.
    •     No portion of the Content may be reprinted, republished, modified, or distributed in any form without the express written permission of WellSteps.
    •     You may not reproduce, reverse engineer, decompile, modify, transmit, sell, distribute, license, or create derivative works of the Content. Any unauthorized use of the Content is strictly prohibited and may violate copyright law, trademark law, the laws of privacy and publicity, and communication regulations and statutes.
    •     Nothing contained herein shall be construed as conferring by implication, estoppel, or otherwise any license or right under any patent or trademark of WellSteps or any third party. Except as expressly provided above, nothing contained herein shall be construed as conferring any license or rights under any WellSteps copyright.

Unsolicited Submission of ideas

We do not accept or review unsolicited ideas, proposals, or suggestions—including ideas for new products, features, marketing, or business strategies. This policy helps avoid misunderstandings if our products or plans seem similar to concepts that are submitted to us.

If you choose to submit an idea anyway, you agree that:

    •     Your submission is non-confidential and non-proprietary.
    •     The idea becomes the property of WellSteps, without compensation or obligation to you.
    •     We may use, copy, disclose, or develop ideas internally without restriction.
    •     You waive any claims regarding the idea and agree not to assert rights against WellSteps related to your submission.

No Warranties & No Medical Advice

While use of and benefit from our Platform is encouraged, please understand that you assume total responsibility and risk when you use our  Platform. The Platform and content available are provided by WellSteps on an “as is” and “as available,” without warranties of any kind–express or implied. We expressly disclaim any and all implied warranties. Some states may not permit the disclaimer of implied warranties, so the foregoing disclaimer may not apply to you.

    •     WellSteps does not guarantee that the Platform will be uninterrupted or error-free.
    •     Any health, wellness, or lifestyle information provided on the Platform is for general educational and informational purposes only and does not constitute medical advice, diagnosis, or treatment. Use of the Platform does not create a physician–patient, therapist–patient, or other healthcare provider relationship. WellSteps is not a healthcare provider and does not provide emergency or clinical medical services. You (user) should consult your own healthcare providers before making any medical or health decisions.

AI Tools and Usage

Our Platform may provide access to AI-powered tools and features that generate general wellness or health-related information. By using these tools, you acknowledge that AI-generated content is probabilistic in nature, may be incomplete or inaccurate, and should not be relied upon as a substitute for professional judgment. WellSteps does not use AI tools to engage in automated decision-making that produces legal or similarly significant effects. AI-generated content does not constitute medical advice, diagnosis, or treatment. You agree not to rely on AI outputs for healthcare decisions and to consult a qualified medical professional for any personal health concerns. You must not submit, upload, or disclose any Personal Health Information (PHI) or other sensitive data when interacting with AI features. AI inputs and outputs may be processed to operate, maintain, and improve the system, consistent with our Privacy Policy, but are not used to make decisions regarding your health, employment, eligibility, or benefits. We make no representations or warranties regarding the accuracy, reliability, completeness, or applicability of information generated by AI tools. To the fullest extent permitted by law, you assume all risk associated with the use of AI-generated content, and we disclaim all liability for any actions taken or not taken based on such content. Your use of these tools constitutes acceptance of these terms and acknowledgment of their limitations.

Limitation of Liability

To the maximum extent permitted by law:

    •     WellSteps and its affiliates, contractors, employees, and agents will not be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages of any kind, arising out of or related to your use of the Platform, even if advised of the possibility of such damages. This limitation of liability applies to all Content and services available through the Platform. To the extent permitted by law, WellSteps’ total aggregate liability arising out of or relating to the Platform or these Terms shall not exceed the lesser of (a) $100 or (b) the amounts paid by you, if any, to WellSteps in the twelve (12) months preceding the claim.

Indemnification

You agree to defend, indemnify and hold harmless WellSteps, its contractors and employees, from and against any and all liabilities, penalties, claims, cause of action and demands, brought by third parties, (including reasonable costs, expenses and attorney’s fees on account thereof resulting from your user of the Platform) whether based in contract or tort (including strict liability) and regardless of the form of action.

Policy Regarding Copyright Infringement and DMCA Agent

WellSteps respects the intellectual property rights of others and requires anyone using our Platform or services to do the same. In accordance with the Digital Millennium Copyright Act (17 U.S.C. §512), WellSteps may remove or disable access to material that appears to infringe another’s copyright and may terminate accounts of repeat infringers at our discretion.

If you believe your copyrighted work has been used on our Platform in a way that constitutes infringement, please send a written DMCA notice to our designated copyright agent that includes:

    1. Your physical or electronic signature;
    2. Identification of the copyrighted work claimed to be infringed;
    3. Identification of the material alleged to be infringing and where it is located on our Platform;
    4. Your name, address, telephone number, and email address;
    5. A statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; and
    6. A statement that the information in your notice is accurate and, under penalty of perjury, that you are the copyright owner or authorized to act on the owner’s behalf.

Upon receipt of a valid notice, WellSteps will review the claim and take appropriate action in accordance with the DMCA.

 Acceptable and Lawful Use

You agree to comply with all applicable laws regarding use of the Platform. Any information you provide in connection with the Platform must comply with the conditions that follow and shall not create any liability for WellSteps or cause WellSteps to lose the services of its Internet Service Providers or other suppliers or vendors.

    •     Content Objectionable or Offensive to Third Parties: You may not upload, post, download, distribute or otherwise transmit any content that is unlawful, libelous, defamatory, slanderous, obscene, pornographic, harassing, threatening, abusive, harmful, violative of others’ privacy rights, or otherwise objectionable.
    •     Unlawful Content: You may not upload, post, download, distribute, or otherwise transmit any content that encourages or is in furtherance of an unlawful, criminal, or fraudulent activity.
    •     Infringing Content: You may not upload, download, post, distribute, edit, modify, or transmit any content that may infringe on any patent, trademark, trade secret, copyright, or other intellectual property right of any person. Infringement may result from the unauthorized copying, posting, editing, modifying, or distributing of any content, including graphics, pictures, photographs, logos, software, articles, music, or videos. By posting any content through this Site, you represent that you have legal rights to use, distribute, and publish such content.
    •     Removal of Objectionable Content: WellSteps does not monitor your use of the Platform. However, we reserve the right to remove or delete any content uploaded, posted, downloaded, distributed, or otherwise transmitted on the Platform that violates these Terms or is otherwise deemed objectionable by WellSteps in its sole discretion.

Eligibility

You must be at least 18 years of age to use this Platform. By using, you represent and warrant that you are at least 18 years of age.

Account, Registration, and Consent

    •     To access certain features of the Platform, you may need to register for an account. You are responsible for maintaining the confidentiality of your login credentials.
    •     By registering, logging in, or continuing to use the Platform, you acknowledge that you agree to these Terms of Use and to WellSteps’ Privacy Policy.
    •     If we modify our Terms or Privacy Policy materially, we may require you to re-acknowledge acceptance before continuing to use the Platform.

Links to Other Websites

WellSteps may provide links to other websites and resources provided by third parties. These links are provided for convenience only. WellSteps does not control, endorse or make any representations about these websites or resources, information, or other products or materials found there or any results obtained from using them. If you access any other third-party websites linked from the Platform, you do so entirely at your own risk and subject to the terms and conditions of use for such websites. WellSteps has no responsibility for the content of other websites and shall not be liable for any injuries or damages arising from the use of or content provided by other sites.

International Use

WellSteps makes no claims that the Content is appropriate or may be downloaded outside of the United States. Access to the Content may not be legal in certain countries or for certain persons. If you access the Platform from outside of the United States, you do so at your own risk, and you are solely responsible for compliance with the laws of your jurisdiction in regard to online conduct and acceptable content.

Any and all personal information that is submitted to the Platform will be handled in accordance with applicable U.S. law. If you are a non-U.S. user, you agree that WellSteps may collect and use your information and disclose it to other entities outside your resident jurisdiction. Such information may be stored on servers located outside of your resident jurisdiction. U.S. law may not provide the degree of protection for information that is available in other countries. By providing WellSteps with your information, you acknowledge and consent to the transfer of such information outside your resident jurisdiction as detailed in our Privacy Policy. Should you not consent to such transfer, you may not use the Platform. Governing Law & Jurisdiction

These Terms and your use of the Platform are governed by and construed in accordance with the laws of the State of Utah, without regard to conflict of laws principles. Any disputes arising out of or related to the use of the Platform shall be resolved in federal or state courts located exclusively in Utah.

Updates to Terms & Entire Agreement

    •     These Terms and the referenced Privacy Policy constitute the entire agreement between you and WellSteps regarding the Platform and your use of the Platform.
    •     WellSteps may modify or amend the Terms or any other referenced documents at any time by posting the revised or amended Terms or referenced documents on the Platform. Any amended or modified terms will be effective upon posting. Continued use after posting constitutes acceptance.
    •     If any provision is found invalid or unenforceable, that provision will be severed, but the rest of the Agreement remains in effect.
    •     The English version is the only official version.

Termination

    •     WellSteps may suspend or terminate your access to the Platform at any time, for any reason, including suspected breach of this Agreement.
    •     Upon termination, use of the Platform ends immediately. Sections relating to Privacy/Data Use, Warranties, Liability, and Indemnification will survive termination.
    •     WellSteps may also modify, restrict, or discontinue features, content, or services at any time without notice.
